  1. Service Agreement Terms
  2.  
  3. You will be asked to agree to the following CompuServe
  4. Information Service Terms during the online registration
  5. process. Please read them carefully before becoming a
  6. member.
  7.  
  8.  1. The CompuServe Information Service (the "Service")
  9. consists of computing and information services and software,
  10. information and other content provided by CompuServe
  11. Incorporated ("CompuServe"). In addition, third parties
  12. provide information, software, and other content
  13. (collectively, "Third Party Content") which may be accessed
  14. over the Service. These terms and any Operating Rules
  15. published over the Service constitute the entire and only
  16. agreement (collectively, the "Agreement") between CompuServe
  17. and member (including its designated users) with respect to
  18. the Service and supersede all other communications and
  19. agreements with regard to the subject matter hereof.

  21.  2. Upon notice published over the Service, CompuServe may
  22. modify this agreement, the Operating Rules or prices, and
  23. may discontinue or revise any or all other aspects of the
  24. Service at its sole discretion and without prior notice.
  25.  
  26.  3. Unless otherwise agreed, member's right to use the
  27. Service or to designate users is not transferable and is
  28. subject to any limits established by CompuServe, or by
  29. member's credit card company if billing is through a credit
  30. card.
  31.  
  32.  4. Member agrees to indemnify CompuServe against liability
  33. for any and all use of member's account.
  34.  
  35.  5. Member is responsible for and must provide all telephone
  36. and other equipment and services necessary to access the
  37. Service.
  38.  
  39.  6. Member shall pay, in accordance with the provisions of
  40. the Billing Option selected by member, any registration or
  41. monthly fees, connect time charges, minimum charges and
  42. other charges incurred by member or its designated users at
  43. the rates in effect for the billing period in which those
  44. charges are incurred, including but not limited to charges
  45. for any purchases made through the Service and any
  46. surcharges incurred while using any supplemental networks or
  47. services other than the Service. Member shall pay all
  48. applicable taxes relating to use of the Service by member or
  49. its designated users. Member shall be responsible for all
  50. use of the Service accessed through member's or its
  51. designated users' password(s).
  52.  
  53.  7. MEMBER EXPRESSLY AGREES THAT USE OF THE SERVICE IS AT
  54. MEMBER'S SOLE RISK. NEITHER COMPUSERVE NOR ANY OF ITS
  55. RESPECTIVE INFORMATION PROVIDERS, LICENSORS, EMPLOYEES, OR
  56. AGENTS WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR
  57. ERROR FREE; NOR DOES COMPUSERVE OR ANY OF ITS RESPECTIVE
  58. INFORMATION PROVIDERS, LICENSORS, EMPLOYEES OR AGENTS MAKE
  59. ANY WARRANTY AS TO THE RESULTS TO BE OBTAINED FROM USE OF
  60. THE SERVICE. THE SERVICE IS DISTRIBUTED ON AN "AS IS" BASIS
  61. WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED,
  62. INCLUDING BUT NOT LIMITED TO WARRANTIES OF TITLE OR IMPLIED
  63. WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR
  64. PURPOSE, OTHER THAN THOSE WARRANTIES WHICH ARE IMPLIED BY
  65. AND INCAPABLE OF EXCLUSION, RESTRICTION, OR MODIFICATION
  66. UNDER THE LAWS APPLICABLE TO THIS AGREEMENT. NEITHER
  67. COMPUSERVE NOR ANYONE ELSE INVOLVED IN CREATING, PRODUCING
  68. OR DELIVERING THE SERVICE SHALL BE LIABLE FOR ANY DIRECT,
  69. INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES
  70. ARISING OUT OF USE OF THE SERVICE OR INABILITY TO USE THE
  71. SERVICE OR OUT OF ANY BREACH OF ANY WARRANTY. MEMBER
  72. EXPRESSLY ACKNOWLEDGES THAT THE PROVISION OF THIS PARAGRAPH
  73. SHALL ALSO APPLY TO THE THIRD PARTY CONTENT.

  75.  8. Except as expressly permitted in the Operating Rules,
  76. neither member nor its designated users may reproduce,
  77. redistribute, retransmit, publish or otherwise transfer, or
  78. commercially exploit, any information, software or other
  79. content which they receive through the Service.

  81.  9. The provisions of paragraphs 7 and 8 are for the benefit
  82. of CompuServe and its respective Information Providers,
  83. Licensors, Employees, and Agents; and each shall have the
  84. right to assert and enforce such provisions directly on its
  85. own behalf.

  87. 10. Subject to the terms of this Agreement, CompuServe
  88. grants to member a personal, non-exclusive, nonassignable
  89. and nontransferable license to use and display the
  90. CompuServe Information Manager software ("Software") on any
  91. machine(s) of which member is the primary user. Unauthorized
  92. copying of the Software, including software that has been
  93. modified, merged or included with the Software, or the
  94. written materials associated therewith is expressly
  95. forbidden. Member may not sublicense, assign or transfer
  96. this license or the Software. Any attempt to sublicense,
  97. assign or transfer any of the rights, duties or obligations
  98. under this license is void.

  100. 11. This agreement is, and shall be governed by and
  101. construed in accordance with the law of the State of Ohio
  102. applicable to agreements, made and performed in Ohio. Any
  103. cause of action of member or its designated users with
  104. respect to the Service must be instituted within one year
  105. after the claim or cause of action has arisen or be barred.

  107. 12. If Member's account is a qualified business account and
  108. approved by CompuServe for corporate billing, charges for
  109. the services provided under this Agreement will be
  110. accumulated and identified by User ID number and will
  111. normally be invoiced following the end of the month in which
  112. the service is provided. Terms of payment on all charges are
  113. net, ten (10) days in the currency in which billed. If any
  114. payment due hereunder is not made by the member within
  115. thirty (30) days after the invoice date, late charges of one
  116. and one-half percent (1 1/2%) per month shall be due and
  117. payable with respect to such payment, and CompuServe may, in
  118. addition, at its sole discretion and without notice to the
  119. member, (a) suspend its performance under this agreement and
  120. the member's and its designated users' access to and use of
  121. the Service, or (b) terminate this agreement and member's
  122. and its designated users' access to and the use of the
  123. Service. For accounts not approved by CompuServe for
  124. corporate billing, member must provide payment by credit
  125. card or direct debit.
  126.  
  127. 13. Notwithstanding any acknowledgement of a member purchase
  128. order by CompuServe, any provision or condition in any
  129. purchase order, voucher, or other memorandum of the member
  130. which is in any way inconsistent with, or adds to, the
  131. provisions of this agreement is null and void. Neither the
  132. course of conduct between parties nor trade practice shall
  133. act to modify the provisions of this Agreement. If any
  134. provision of this Agreement is determined to be invalid, all
  135. other provisions shall remain in full force and effect. The
  136. provisions of paragraphs 7, 9, and 13 and all obligations of
  137. and restrictions on member and its designated users shall
  138. survive any termination of this Agreement.
